01Definitions
"Leopoldo": the implementation firm and the underlying framework. "Client": the legal entity entering into a Master Services Agreement. "Cowork": Anthropic's team workspace product. "Engagement": the scoped implementation defined in the relevant Statement of Work.
02Engagement scope
Each engagement is defined by a Statement of Work. Scope includes the domains composed, deployment milestones, support level, and pricing structure.
We deploy inside the Client's Cowork workspace. The Client maintains the Cowork contract directly with Anthropic.
03Intellectual property
The Leopoldo framework (orchestrator, agents, skills, quality gates) remains the exclusive property of Leopoldo. The Client receives a license to use the implementation during the engagement period.
Outputs generated using the framework belong to the Client.
04Term and termination
Annual contracts auto-renew unless cancelled with 30 days notice before renewal. Either party may terminate for material breach with 30 days written notice and an opportunity to cure.
Upon termination we provide a 30-day offboarding window with data export and read-only access.
05Liability
Each party's liability is capped at the fees paid in the 12 months prior to the claim. Neither party is liable for indirect, consequential, or punitive damages.
Force majeure standard. Governing law: Switzerland. Disputes settled in Zurich.
